EULA - End User License Agreement

END-USER LICENSE AGREEMENT FOR MODULAR CODING INC. PERSONAL LICENSE

IMPORTANT-READ CAREFULLY: This End-User License Agreement (EULA) is a legal agreement between you (either an individual or a single entity) (Licensee) and Modular Coding Inc to use the software product. This EULA applies, after the Licensee receives the source code along with the agreement. The Licensee agrees to be bound by the terms of the EULA for installing, copying, modifying the original code. If the Licensee does not agree to the terms of the EULA, you may not install, modify or copy or use the code in any way as you agree to be bound by the terms of this LICENSE AGREEMENT.
I. GRANT OF LICENSE

The licensee on acceptance of the license, Modular Coding Inc grants the non-exclusive rights of their code usage with subject to the following:
a) The software is supplied to the licensee with the complete source code and the licensee is held sole responsibility of its usage.
b) The source code can be modified accordingly for the use by the licensee in its application but the licensee must not tamper the original copyrights or comments of the original source code without the prior permission of Modular Coding Inc. Violations of this condition will be prosecuted in every case.
c) The licensee is supplied with the complete source code and has the full authority to modify the code accordingly as required by his application and usage. User have the right to modify it for his own needs with the following restrictions:
i. The licensee will keep all the original copyrights of the source code and not tamper with it in any kind.
ii. Since the licensee has the authority to use and modify the code for himself but will not claim himself the author of the modified code in any way nor claim himself the author for the original code used and not use in a third party service without prior written permission of Modular Coding Inc.
iii. The licensee has the permissions to modify code and use it accordingly in self use only, shall not be permitted to disclose the original code or modified code in any kind and publish it to a another third party without the written permission of Modular Coding Inc.

The use of the software and the full source code is done at your own risk. The manufacturer and developer accept no liability for any damages, caused direct or indirect consequence of the use of this product code and Modular Coding Inc holds no responsibility for such cases. Only observance of these above conditions allows you to use the product code original or modified in your computer system.

II. GOVERNING LAW

This End-User License Agreement and all matters arising out of it are governed by the laws of the United States of America where Modular Coding Inc was originally created, and the parties irrevocably consent to jurisdiction and venue in the courts of that country's national capital. Application of the United Nations Convention on Contracts for the International Sales of Goods is expressly excluded.
III. WARRANTY

The software original source code is warranty free, which means that you agree to use the code at your sole risk and its extent is not under any permitted applicable law. Should the program code prove defective, you assume the sole responsibility of the cost of all necessary corrections required on your part to incur the damages. You will not hold Modular Coding Inc responsible for any consequential damages arising out of the use of the source code (including but not limited to loss of data or data being rendered inaccurate or losses sustained by you or third parties involved or failure of code to operate with some other programs) even such holder has been advised of the possible damages.

IV. DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS

Free For Personal Use Version. This software code is being made available for FREE; "Personal Use" only whatsoever is permitted whether or not any remuneration is involved. You may NOT use the source code in any third party place whatsoever without the prior written permission from Modular Coding Inc.
This EULA is the agreement between personal users, non-commercial or non-profit organization users and Modular Coding Inc to use the Software code for non-commercial purposes, where "Non-Commercial Purposes" means:

1. To evaluate, the Software code can be used to do exploratory or educational development and "proof of concept" prototyping of software applications, whether at home for personal use or at work as a prototyping code, and where "Non-Commercial Purposes" specifically EXCLUDES development or using the code in original or modified form to be used for commercial gain, whether to be used within a company, partnership, organization or entity that transacts commercial business.
2. Personal Use means: You can use the software code for your own usage as original or modify accordingly to serve your own purpose.
3. The scope of the software code as free is not limited to 2 or 4 usage, but more, unless the code is not shared with any third party or modified to apply for usage in a third party place.

V. TERMINATION

Under this Agreement, Modular Coding Inc may terminate any or all licenses granted by this Agreement if the licensee breach any of the obligations under this Agreement. Modular Coding Inc will make no reasonable efforts to contact you regarding any breaches and will immediately terminate all licenses under you for using the software code.

VI. ENTIRE AGREEMENT

This EULA (including any addendum or amendment to this EULA which is included with the Software code) is the entire agreement between the Licensee and Modular Coding Inc relating to the Software code and they supersede all prior or contemporaneous oral or written communications, proposals and representations with respect to the Software code or any other subject matter covered by this EULA. If any provision of this EULA is held to be void, invalid, unenforceable or illegal, the other provisions shall continue in full force and effect.
